Acceptance of Terms
By accessing or using our website and services (“Services”), you agree to these Terms of Service and our Privacy Policy. If you’re agreeing on behalf of your company, you represent you have authority to bind that entity.

Services & Scope
We provide design, development, theme customization, app integration, and related UX/UI services (“Services”). Details such as deliverables, timelines, and payment terms are defined in individual project proposals or Statements of Work (“SOW”)
Fees & Payment
Fees, payment terms, milestones, and billing schedule are outlined in your SOW.
Unless otherwise agreed, invoices are due within 30 days of issue.
Late payments incur interest at 1.5% per month—or the maximum allowed by law—whichever is lower.
All payments are non‑refundable except where otherwise stated.
Term & Termination
This agreement continues until the Services are completed or the SOW ends.
Either party may terminate for material breach if the breach remains uncured for 14 days after written notice.
On termination, you must pay for all Services rendered up to that point; we’ll return any materials upon full payment.
Intellectual Property
You retain ownership of materials you provide (“Client Materials”).
We retain ownership of our pre‑existing tools, designs, code, and frameworks (“Agency IP”).
Upon full payment, you receive a non‑exclusive, perpetual license to use deliverables within your Shopify store. We reserve the right to showcase work in our portfolio.
Confidentiality
Both parties agree to protect confidential information (business plans, pricing, code) and not disclose it to third parties, unless required by law.
Warranties & Disclaimers
We warrant to perform Services in a professional manner.
We don’t guarantee results (e.g., sales increase or traffic boost).
All Services are provided “as‑is,” without further warranties. We disclaim implied warranties of merchantability and fitness for a particular purpose.
Limitation of Liability
Neither party is liable for indirect, incidental, special, or consequential damages.
Our total liability won’t exceed the total fees paid by you under the SOW during the prior 12 months .
Indemnification
You agree to indemnify and hold us harmless against third‑party claims resulting from your use of the Services, your website content, or violation of these Terms.
Dispute Resolution
Disputes should first be addressed via good‑faith negotiation.
If unresolved after 30 days, disputes may be resolved through binding arbitration or small claims court (depending on your jurisdiction), with no class actions .
Modifications
We may update these Terms from time to time; material changes will be communicated 30 days in advance. Continued use implies acceptance of the new Terms
Governing Law
